Welcome to Projekt Auto LLC. The terms “we,” “us,” and “our” refer to Projekt Auto LLC. Projekt Auto LLC operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with access to our online automotive parts catalog and shopping services.

Projekt Auto LLC is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein, including our Refund Policy, Shipping Policy, and Privacy Policy, describe your rights and responsibilities when you use our website, store, products, or services.

You represent and warrant that all information you provide is accurate, current, and complete.

You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 - OUR PRODUCTS

Projekt Auto LLC sells automotive parts, including used parts, new parts, new old stock parts, open-box parts, and other automotive components. The condition of each item is stated on the product page to the best of our ability.

Used parts are pre-owned automotive components and may show normal wear, age, cosmetic imperfections, prior use, dirt, corrosion, fading, scratches, marks, broken clips, missing hardware, or other conditions consistent with used automotive parts. Used parts are sold as-is unless a specific warranty or return policy is stated on the product page.

New parts are sold in the condition stated on the product page. Unless expressly stated, Projekt Auto LLC does not provide any manufacturer warranty, dealer warranty, or additional warranty on new parts beyond what is specifically stated on the product page or required by applicable law.

We make every effort to accurately represent our products. However, colors, textures, finishes, and product appearance may differ from how they appear on your screen due to device settings, lighting, photography, or display differences.

Product descriptions, photos, part numbers, donor vehicle information, mileage, fitment information, and condition notes are provided to the best of our ability. Occasional listing errors, inventory errors, fitment errors, pricing errors, or omissions may occur.

All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any product offered to any person, geographic region, or jurisdiction on a case-by-case basis.

SECTION 3 - FITMENT, COMPATIBILITY, AND CUSTOMER RESPONSIBILITY

Vehicle year and model information alone may not ensure fitment. Automotive parts can vary by VIN, production date, trim level, body style, drivetrain, market, installed options, software, coding, hardware revision, or other vehicle-specific factors.

When possible, we provide OEM part numbers, manufacturer part numbers, donor vehicle information, option information, photos, and compatibility details. This information is provided as a reference only and is not a guarantee of fitment.

Customers are responsible for reviewing all photos, descriptions, part numbers, condition notes, and fitment information before ordering. Customers should compare part numbers, connectors, mounting points, options, and visual details with their existing part before purchase.

If you are unsure whether a part will fit your vehicle, contact us before ordering. We may be able to assist with fitment review if you provide your VIN and relevant vehicle information, but final responsibility for ordering the correct part remains with the customer.

SECTION 4 - ORDERS

When you place an order, you are making an offer to purchase. Projekt Auto LLC reserves the right to accept, decline, cancel, or refund an order for any reason, including but not limited to inventory error, listing error, pricing error, shipping restriction, suspected fraud, payment issue, address issue, inability to safely ship the item, or an issue discovered during final inspection.

Your order is not accepted until Projekt Auto LLC confirms acceptance and processes payment. Please review your order carefully before submitting it. We may be unable to accommodate cancellation requests after an order is accepted or after fulfillment has begun.

If we do not accept, make a change to, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, and/or phone number provided at the time the order was placed.

Purchases are subject to return or exchange only in accordance with our Refund Policy and any item-specific return or warranty terms stated on the product page.

You agree that you will not purchase, export, re-export, ship, or transfer any product in violation of applicable laws, sanctions, export controls, or restrictions.

SECTION 5 - PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and shown in your order confirmation, subject to correction for errors.

Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs duties, import charges, brokerage fees, or other government charges.

Prices posted in our online store may differ from prices offered in physical locations, marketplaces, prior listings, other websites, or third-party platforms.

We may offer promotions that are governed by separate terms and conditions. If there is a conflict between promotional terms and these Terms, the promotional terms will govern for that specific promotion.

You agree to provide current, complete, and accurate purchase, payment, billing, shipping, and account information for all purchases. You agree to promptly update your account and other information so that we can complete your transactions and contact you as needed.

You represent and warrant that any payment information you provide is true, correct, complete, and authorized for your use, and that you will pay all charges incurred by you at the posted prices, including applicable taxes, shipping, and handling charges.

SECTION 6 - SHIPPING AND DELIVERY

Shipping and delivery are governed by our Shipping Policy.

Most orders ship the next business day, but processing times may vary by item, order volume, carrier availability, packaging requirements, freight scheduling, holidays, or other circumstances.

We are not liable for shipping or delivery delays. Delivery times are estimates only and are not guaranteed unless expressly stated in writing.

Orders may ship through USPS, FedEx, UPS, freight carrier, local delivery, or another appropriate carrier depending on item size, weight, value, and destination.

Freight shipments assume delivery to a commercial address with a loading dock, forklift, or other proper unloading equipment. Additional charges may apply for residential delivery, limited-access locations, liftgate service, appointment delivery, storage, redelivery, address correction, or locations without unloading equipment.

Customers are responsible for providing a complete and accurate shipping address. We are not responsible for delays, extra charges, or failed delivery caused by incorrect or incomplete shipping information.

Inspect all packages upon delivery. If an item arrives damaged, keep all packaging materials and contact us promptly so the shipment can be reviewed.

SECTION 7 - RETURNS, REFUNDS, AND WARRANTY

Returns, refunds, and warranty claims are governed by our Refund Policy and any item-specific terms stated on the product page.

Return eligibility and any warranty coverage are listed on each product page. If a return is accepted, it must be requested within 14 days of delivery unless a different return period is stated on the product page or required by applicable law.

Returned items must be returned in the same condition they were sent. Returns may be denied for items that have been installed, altered, damaged, disassembled, modified, programmed, coded, painted, used improperly, or returned incomplete.

Approved returns or warranty claims cover the cost of the part only unless otherwise required by law or expressly stated in writing. Projekt Auto LLC does not cover or reimburse labor, installation costs, diagnostic costs, rental vehicles, alternate transportation, additional parts, fluids, materials, tools, equipment, return shipping, loss of use, downtime, lost income, or any other incidental or consequential expenses.

All returns and warranty claims are reviewed carefully. We reserve the right to deny claims that are fraudulent, incomplete, inconsistent with the product’s stated condition, outside the applicable return period, or otherwise not covered by the stated return or warranty terms.

SECTION 8 - INSTALLATION, USE, AND VEHICLE DAMAGE

All parts should be installed by a qualified mechanic or technician.

Projekt Auto LLC is not responsible for damage, injury, loss, expense, or failure resulting from incorrect diagnosis, incorrect part selection, improper installation, improper programming or coding, misuse, modification, failure to follow service procedures, or continued vehicle issues after installation.

Projekt Auto LLC is not responsible for any damages, injuries, expenses, or losses that occur after the part is received, including but not limited to a part not resolving a vehicle issue, damage during installation, damage to the vehicle, injury to persons or property, loss of use, downtime, or lost income.

SECTION 9 - INTELLECTUAL PROPERTY

Our Services, including but not limited to text, images, graphics, product information, page layouts, design, logos, branding, and other content, are owned by Projekt Auto LLC, its affiliates, licensors, suppliers, or other rights holders and are protected by applicable intellectual property laws.

These Terms permit you to use the Services for personal, business, or purchasing purposes related to evaluating or purchasing products from Projekt Auto LLC. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, scrape, extract, or transmit any material from the Services without our prior written consent, except as permitted by law.

Projekt Auto LLC’s names, logos, product names, service names, designs, and slogans are trademarks or trade identifiers of Projekt Auto LLC or its affiliates or licensors. You may not use these without prior written permission.

Shopify’s name, logo, product names, service names, designs, and slogans are trademarks of Shopify. All other names, logos, product names, service names, designs, slogans, manufacturer names, vehicle names, part numbers, and trademarks are the property of their respective owners.

SECTION 10 - TRADEMARK AND AFFILIATION DISCLAIMER

Projekt Auto LLC is an independent reseller of automotive parts and is not affiliated with, authorized by, sponsored by, endorsed by, or connected to BMW AG, BMW of North America, MINI USA, Rolls-Royce Motor Cars Limited, or any other vehicle manufacturer.

All trademarks, brand names, logos, vehicle names, manufacturer names, and part numbers are the property of their respective owners and are used only to identify part compatibility, specifications, and source information.

The use of manufacturer names, model names, or part numbers does not imply endorsement, sponsorship, authorization, warranty, or affiliation by the original manufacturer.

“OEM” refers to parts originally manufactured by or for the vehicle manufacturer or supplied as original equipment, when applicable. Aftermarket parts are manufactured by third-party companies. Product condition and source information are stated on each product page to the best of our ability.

SECTION 11 - OPTIONAL TOOLS

You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor control.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without warranties, representations, or conditions of any kind and without endorsement. We shall have no liability arising from or relating to your use of optional third-party tools.

Any use of optional tools offered through the site is entirely at your own risk and discretion. You should ensure that you are familiar with and approve of the terms provided by the relevant third-party provider.

We may offer new features, tools, or resources through the Services in the future. Such new features will also be deemed part of the Services and subject to these Terms.

SECTION 12 - THIRD-PARTY LINKS

The Services may contain links to websites or materials provided or operated by third parties. We are not responsible for examining or evaluating the content, accuracy, policies, or practices of any third-party websites or materials.

If you access third-party websites or materials, you do so at your own risk. We are not liable for any harm or damages related to your access to third-party websites or your purchase or use of products, services, resources, or content from third parties.

Complaints, claims, concerns, or questions regarding third-party products or services should be directed to the third party.

SECTION 13 - RELATIONSHIP WITH SHOPIFY

Projekt Auto LLC is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Projekt Auto LLC.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Projekt Auto LLC, including any injury, damage, or loss resulting from purchased products or services.

You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Projekt Auto LLC.

SECTION 14 - PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, which is available on our website.

We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel/refund orders if any information is inaccurate at any time without prior notice, including after you have submitted an order.

Used parts are sold as-is unless a specific warranty or return policy is stated on the product page or required by applicable law.

We do not guarantee, represent, or warrant that your use of the Services will be uninterrupted, timely, secure, accurate, or error-free.

Some jurisdictions limit or do not allow disclaimers of implied warranties or certain consumer protections, so some disclaimers may not apply to you.

SECTION 21 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no case shall Projekt Auto LLC, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, licensors, suppliers, or those of Shopify and its affiliates, be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, exemplary, or consequential damages of any kind, including without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, loss of use, downtime, lost income, labor costs, installation costs, diagnostic costs, rental vehicle costs, damage to a vehicle, damage to other parts, or similar damages.

This limitation applies whether based in contract, tort, negligence, strict liability, warranty, or otherwise, and whether arising from your use of the Services, any product purchased through the Services, product installation, product failure, incorrect fitment, listing errors, compatibility errors, shipping delays, or any other claim related in any way to your use of the Services or products purchased through the Services, even if advised of the possibility of such damages.

SECTION 22 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Projekt Auto LLC, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, suppliers, and service providers from any losses, damages, liabilities, claims, costs, or expenses, including reasonable attorneys’ fees, payable to any third party due to or arising out of: (1) your breach of these Terms of Service or any policies incorporated by reference; (2) your violation of any law or the rights of a third party; (3) your access to or use of the Services; (4) your improper installation, use, modification, resale, export, or handling of any product purchased from us; or (5) information, content, or feedback you provide.

We will notify you of any indemnifiable claim, provided that failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle any claim requiring non-monetary obligations from you without your consent, not to be unreasonably withheld. You will cooperate in the defense of indemnified claims, including by providing relevant documents.

You and Projekt Auto LLC consent to venue and personal jurisdiction in the state and federal courts located in Utah County, Utah, or the nearest court of competent jurisdiction, for disputes arising out of or relating to these Terms, the Services, or purchases from Projekt Auto LLC, except where otherwise required by applicable law.
